Things Most Likely to Go Wrong

  • Gross vs. Net Revenue Confusion: The builder will calculate operating margins based on Gross Revenue. Nasdaq's margins are always evaluated on *Net Revenue* (excluding transaction-based expenses).
  • Ignoring Capitalised Software: Failing to model capitalised software will overstate operating expenses and understate capex, distorting EBITDA and OCF.
  • Pro-Forma vs. Organic Growth: The Adenza acquisition closed in Nov 2023. YoY growth rates for 2024 are heavily distorted by this. The model must use organic growth rates for forecasting Financial Technology.
