The model projects annual repurchase budgets, share price assumptions, pacing, impact on share count, and resulting EPS accretion/dilution. It then shows return on capital metrics (ROIC, pay-down of debt vs buyback comparison) and peer multiples to reveal whether buybacks are the best use of cash vs alternatives.

The model quantifies EPS accretion (shares repurchased at lower prices boost EPS per share even if net income is flat) and dilution (shares repurchased at higher prices damage EPS). Sensitivity tables show how buyback returns vary with entry price and company growth rate. Cash flow availability is modeled (FCF after capex and working capital) to ensure buyback budget is sustainable. Share Buyback Model: How the Template Works

This share buyback model is a five-year projection template for evaluating a corporate share repurchase programme. It captures the impact on EPS, leverage, cash, and shareholder returns.

Using a single assumptions sheet, it shows how buybacks flow through a schedule, income statement, debt schedule, and returns analysis, highlighting key operating drivers and checks.

Operating Drivers and Programme Framework

The template begins with a single Assumptions sheet that feeds every other calculation through named ranges. Programme behaviour is governed by a few key drivers: the authorisation size, the annual budget, the active window, the financing mix, and the buyback premium.

  • A numeric programme-type code selects among open-market execution, accelerated share repurchase, and two placeholder structures for Dutch auction and fixed-price tender offers. The model also allows a target-leverage cap to constrain spend before the budget is applied.
  • These inputs determine the pace and scale of repurchases, while the programme window ensures activity only occurs when the programme is live. Because everything is input-driven, users can adjust assumptions to see how the programme responds.

Calculation Flow: Financing, Caps, and Shares

Programme spend is the minimum of requested budget, target-leverage room, and remaining authorisation, but only if the programme is active. The target-leverage cap is solved as target leverage times EBITDA minus existing debt, so the model treats leverage as a sizing constraint rather than an after-the-fact check.

  • Funding is split between new debt and operating cash based on the debt-funded percentage. Buyback debt amortises straight-line over its tenor.
  • On the share side, the model uses a time-weighted average basic share count that accounts for when during the year repurchases occur. Diluted EPS adds treasury stock method dilution from options.

An excise tax on repurchases is applied below the tax line as a separate, non-deductible expense.

Outputs and Integrity Checks

The outputs span several linked schedules. The income statement carries revenue through net income, with the excise tax shown separately.

  • The buyback schedule rolls forward shares, treasury stock, and the ASR block. The cash flow statement uses the indirect method and enforces a minimum-cash covenant test.
  • The debt schedule amortises both existing and buyback-related debt and tracks leverage and coverage. The returns analysis reports ROE, ROIC, a mark-to-market-inclusive buyback ROI, and a dividend-versus-buyback comparison.

A dedicated checks sheet flags errors, leverage breaches, authorisation limits, cash floors, ROI sanity, and ROE monotonicity, so users can quickly see whether assumptions produce coherent results. These outputs help evaluate shareholder value and financial stability together.

Practical Use and Sensitivity Analysis

Practically, the template supports scenario testing by overriding a handful of high-impact assumptions. The dominant drivers for buyback ROI include price growth, debt-funding percentage, annual budget, and buyback premium.

  • For a one-variable sensitivity, the budget can be varied across a range and the terminal ROI read from the returns analysis. Two-variable sensitivity can be set up with a data table tied to named ranges, for example budget versus premium.
  • The dividend-versus-buyback comparison shows equivalent special dividend per share, after-tax yields, and the DPS uplift from a lower share count. The model’s known limitations include placeholder tender mechanics and no revolver, so it is best used as a structured evaluation tool, not a substitute for full covenant modelling.
