About this model
This model provides a comprehensive equity valuation and scenario planning tool for Synopsys, specifically designed to evaluate the financial impact, margin expansion trajectory, and rapid deleveraging profile following the transformational $35 billion acquisition of Ansys and the divestiture of the Software Integrity Group.
Synopsys is a global leader in electronic design automation (EDA) software, semiconductor intellectual property (IP), and system simulation solutions. The company provides the foundational software tools and IP blocks that semiconductor companies and systems companies use to design, verify, and test integrated circuits and electronic systems.
Following the divestiture of its Software Integrity Group (SIG) in late 2024 and the acquisition of Ansys in July 2025, the business operates in two primary segments: Design Automation (approximately 75% of total revenue) and Design IP (approximately 25% of total revenue). The company operates globally, though it has recently faced macroeconomic and export control headwinds in China, which historically represented a material portion of sales. Synopsys operates a highly recurring, asset-light software business model characterised by time-based licenses, upfront IP licensing, and trailing royalties. It operates in a functional duopoly in the EDA space alongside Cadence Design Systems, and is now a dominant player in multiphysics simulation following the Ansys integration.
The downloadable Synopsys financial model includes SEC-sourced historical financials, forecast assumptions, core operating schedules, and valuation outputs in an Excel workbook built for review and scenario analysis.
A turnkey financial model
Live formulas, no hardcoded values
Outputs are driven by live formulas, so the workbook updates from its assumptions instead of relying on hardcoded results.
All assumptions in one tab
Inputs are clearly marked in the Assumptions tab and separated from calculations, making it clear what to change and what to leave intact.
Statements always balancing
For integrated-statement models, the balance sheet, cash flow, and supporting schedules tie through properly.
Distinct schedules for clarity
Debt, working capital, taxes, and cash flow can get messy quickly. We group calculations in clear schedules, not across disconnected tabs.
No hidden macros or external links
There are no unexplained external workbook links or macros to undermine auditability or portability.
Changes flow through the model
Update a key driver and see the impact carry through the forecast, financing, and return outputs. We never use hardcoded numbers in formulas.

Revenue Deep Dive
Design Automation
- Segment name: Design Automation (includes historical EDA, Ansys simulation products, and hardware emulators)
- Revenue driver formula: (Number of Active Customers x Average Annual Contract Value) + Hardware Emulator Sales
- Historical growth rate: 10-15% organic CAGR, jumping to 26% in FY2025 due to the partial-year inclusion of Ansys.
- Key growth levers and headwinds: Driven by the increasing complexity of chip designs (transition to 3nm/2nm nodes), multi-die advanced packaging, and the integration of AI into the design process (Synopsys.ai). Headwinds include export restrictions to Chinese foundries and cyclical hardware emulator demand.
- Pricing dynamics: Contractual, highly sticky, multi-year time-based software licenses with built-in price escalators.
- Revenue recognition notes: Software licenses are typically recognised ratably over the term of the contract (Time-Based License revenue), creating a massive deferred revenue and backlog balance. Hardware is recognised upon delivery.
- Seasonality: Fiscal Q4 (ending October) is typically the strongest quarter for bookings and hardware deliveries.
Design IP
- Segment name: Design IP
- Revenue driver formula: (Number of IP Blocks Licensed x Upfront License Fee) + (Customer Chip Shipments x Royalty Rate per Chip)
- Historical growth rate: Mid-teens CAGR, though it experienced an 8% decline in FY2025 due to specific market headwinds in Asia.
- Key growth levers and headwinds: Growth is driven by the outsourcing of standard chip functions (e.g., PCIe, DDR, USB interfaces) as chipmakers focus their R&D on proprietary differentiation. Headwinds include cyclical slowdowns in end-market chip volumes which directly impact royalty streams.
- Pricing dynamics: Spot licensing for upfront IP access, followed by contractual, volume-based royalties.
- Revenue recognition notes: Upfront license fees are generally recognised at a point in time when the IP is delivered to the customer. Royalties are recognised in the quarter the customer ships the physical chips.
- Seasonality: Royalty revenue often lags semiconductor industry shipment cycles by one quarter.
Cost Structure
Variable Costs / COGS
- Line-by-line breakdown: Cost of revenue primarily consists of personnel costs for consulting and customer support, hardware costs for ZeBu and HAPS emulators, and royalty payments to third parties.
- Gross margin range: 77% to 80% over the last 5 years.
- Key input costs and commodity exposures: Highly insulated from commodities. The main variable cost is the hardware component of emulators and engineering labour.
- How COGS scales with revenue: Software margins are near 100%, meaning gross margin expands as the mix shifts away from hardware and consulting toward pure software and IP royalties.
Operating Expenses
- R&D: Typically 30-35% of revenue. This covers the massive software engineering workforce required to keep pace with Moore's Law and foundry node transitions. Synopsys does not capitalise significant software development costs; most R&D is expensed as incurred.
- SG&A: Typically 15-20% of revenue. Driven by sales commissions, marketing events, and corporate overhead.
- Depreciation & Amortisation: Historically 3-5% of revenue, but spiking significantly in FY2025 and FY2026 due to the amortisation of acquired intangible assets from the $35 billion Ansys acquisition.
- Stock-Based Compensation: Runs at approximately 8-10% of revenue. This is a critical non-cash expense used to retain highly competitive Silicon Valley engineering talent.
- Restructuring / one-time charges: Occasional, but a material restructuring programme was initiated in late 2025 to optimise resources post-Ansys integration.
Margin Profile
- Margin ranges: Non-GAAP operating margins have expanded from the low 30s to 37.3% in FY2025.
- Margin trend: Expanding. Management has guided to a ~40.5% non-GAAP operating margin for FY2026, driven by the higher-margin Ansys profile and cost synergies.
- Segment-level margins: Design Automation typically operates at a ~42% adjusted operating margin, while Design IP margins fluctuate based on the mix of high-margin royalties versus lower-margin implementation services.
Balance Sheet Structure
- Total assets: Scaled massively from ~$10 billion in FY2023 to over $40 billion in FY2025 due to the Ansys acquisition.
- Key asset categories: Goodwill, Intangible Assets, Cash and Cash Equivalents, Accounts Receivable, and Unbilled Receivables.
- Goodwill & intangibles as % of total assets: Extremely high (estimated >70% post-Ansys) reflecting the premium paid for a transformational software asset.
- Working capital profile:
- Days Sales Outstanding (DSO): 45-55 days.
- Days Inventory Outstanding (DIO): Negligible (only applies to hardware emulators).
- Days Payable Outstanding (DPO): 30-40 days.
- Net working capital as % of revenue: Negative.
- Working capital advantage: Synopsys operates with negative net working capital because it bills customers annually in advance for multi-year software subscriptions, creating a massive Deferred Revenue liability that funds operations.
- PP&E: Very light. Consists mostly of server farms, IT equipment, and leasehold improvements for offices.
- Right-of-use assets: Material but standard for a company with a large global office footprint.
Capital Expenditure & Investment
- Capex as % of revenue: 3-4% (guided to ~$300 million for FY2026).
- Maintenance capex vs. growth capex: Almost entirely maintenance and IT infrastructure upgrades.
- Major capex programmes underway or planned: Data centre investments to support AI-driven EDA tools in the cloud.
- Capitalised software: Minimal.
- M&A pattern: Historically a serial bolt-on acquirer, but the $35 billion Ansys deal was a rare transformational mega-merger. Management has explicitly stated M&A will be paused to focus on rapid deleveraging.
Debt & Capital Structure
- Total debt: Approximately $14.3 billion post-Ansys.
- Debt/EBITDA ratio: Spiked to >3.0x at the close of the Ansys deal, with a target to deleverage rapidly over 24 months.
- Key debt instruments: $10 billion in senior notes issued in 2025, a $4.3 billion term loan, and an undrawn $850 million revolving credit facility.
- Maturity profile: Staggered senior notes, but the term loan requires near-term cash flow sweeps.
- Interest rate profile: Blended cost of debt is estimated at 4.5-5.5%.
- Share repurchase programme: Historically active, but completely suspended in FY2025 to prioritise debt reduction.
- Dividend policy: Synopsys does not pay a dividend.
Cash Flow Characteristics
- Operating cash flow conversion: Consistently >1.0x of GAAP Net Income due to massive non-cash add-backs (SBC, amortisation) and positive working capital dynamics from deferred revenue.
- Free cash flow margin: Guided to the mid-30s percentage range long-term (~$1.9 billion expected in FY2026).
- Major non-cash items: Amortisation of acquired Ansys intangibles and stock-based compensation.
- Working capital cash flow impact: Deferred revenue growth acts as a major source of cash during periods of booking expansion.
- Capex intensity: Very low, resulting in FCF closely mirroring OCF.
Sheet Structure
- Assumptions: Hardcoded inputs for macroeconomic drivers, segment growth rates, margin targets, tax rates, and WACC.
- Revenue & Backlog Build: Detailed build of Design Automation and Design IP revenue, including a schedule for the $11.4 billion backlog and deferred revenue waterfall.
- Income Statement: GAAP and Non-GAAP views. Must explicitly separate SBC and Amortisation of Intangibles to bridge to management's Non-GAAP EPS guidance.
- Balance Sheet: Assets, Liabilities, and Equity. Must include specific lines for Goodwill, Intangible Assets, Unbilled Receivables, and Deferred Revenue (Short and Long Term).
- Cash Flow Statement: Standard indirect method. Must clearly show the add-back of SBC and Intangible Amortisation, and the working capital benefit of Deferred Revenue.
- Debt & Interest Schedule: Tranche-by-tranche breakdown of the $10 billion senior notes and $4.3 billion term loan, calculating interest expense and mandatory/optional principal paydowns using swept FCF.
- DCF Valuation: Unlevered free cash flow calculation, WACC build, terminal value calculation, and bridge from Enterprise Value to Equity Value (deducting the massive new debt load).
Key Financial Relationships
- `Design Automation Revenue = (Prior Year Design Automation Revenue * (1 + Organic Growth Rate)) + Ansys Contribution`
- `Design IP Revenue = Upfront License Revenue + Royalty Revenue`
- `Total Revenue = Design Automation Revenue + Design IP Revenue`
- `Deferred Revenue Ending Balance = Deferred Revenue Beginning Balance + Total Billings - Total Recognised Revenue`
- `Non-GAAP Gross Profit = Total Revenue - (Cost of Revenue - Amortisation of Acquired Intangibles in COGS - SBC in COGS)`
- `Non-GAAP Operating Income = GAAP Operating Income + Stock-Based Compensation + Amortisation of Intangible Assets + Restructuring Charges`
- `Non-GAAP Operating Margin = Non-GAAP Operating Income / Total Revenue`
- `Interest Expense = Average Total Debt Balance * Weighted Average Interest Rate`
- `Free Cash Flow = Cash from Operations - Capital Expenditures`
- `Debt Paydown = MIN(Beginning Debt Balance, MAX(0, Free Cash Flow - Minimum Cash Balance Required))`
Cross-Sheet Dependencies
- The Revenue & Backlog Build feeds the top line of the Income Statement and drives the Deferred Revenue and Unbilled Receivables lines on the Balance Sheet.
- The Income Statement generates Net Income, which is the starting point for the Cash Flow Statement.
- The Cash Flow Statement calculates Free Cash Flow, which feeds directly into the Debt & Interest Schedule to determine how much debt can be retired in the period.
- The Debt & Interest Schedule calculates Interest Expense, which creates a circular reference back to the Income Statement (Interest Expense lowers Net Income, which lowers FCF, which lowers debt paydown, which increases Interest Expense). A circuit breaker toggle is required.
- The DCF Valuation pulls Unlevered FCF from the Cash Flow Statement and Net Debt from the Balance Sheet.
Sign Convention
- Revenue, Assets, and Equity are entered as positive numbers.
- Expenses, Capital Expenditures, and Liabilities are entered as positive numbers in their specific build schedules, but subtracted in aggregation formulas (e.g., `Gross Profit = Revenue - COGS`).
- On the Cash Flow Statement, cash inflows are positive and cash outflows are negative.
Things Most Likely to Go Wrong
- Failing to exclude the Software Integrity Group (SIG) from historical comparisons; SIG was sold in late 2024 and must be treated as discontinued operations to accurately forecast the go-forward business.
- Mishandling the Ansys stub period. Ansys closed in July 2025, meaning FY2025 only includes roughly 3.5 months of Ansys revenue ($756.6 million). FY2026 will be the first full year, creating a massive optical YoY growth rate that is not organic.
- Ignoring the impact of Stock-Based Compensation. SBC is a massive expense for Synopsys; valuing the company on Non-GAAP metrics without treating SBC as a real economic cost to shareholders will drastically overvalue the equity.
- Underestimating the amortisation burden. The $35 billion Ansys deal created immense intangible assets; GAAP earnings will be severely depressed by amortisation for years.
- Misunderstanding the cash flow dynamics of deferred revenue. Synopsys collects cash upfront for multi-year deals. A slowdown in bookings will immediately hit operating cash flow before it hits the P&L revenue line.
- Forgetting to suspend share repurchases in the forecast. Management has explicitly halted buybacks to pay down the $14.3 billion Ansys debt.
- Double-counting Ansys synergies. Management's 40.5% margin guidance for FY2026 already bakes in initial cost synergies; aggressive further margin expansion assumptions should be heavily scrutinised.
- Misaligning the fiscal year. Synopsys has an October 31 fiscal year-end. Macroeconomic data must be calendarised correctly.
Validation Checks
- FY2026 Total Revenue should equal approximately $9.61 billion based on management guidance.
- Non-GAAP Operating Margin must expand to approximately 40.5% in FY2026.
- Capex should remain strictly bounded around $300 million per year.
- The Balance Sheet must balance perfectly in every forecasted period: Total Assets = Total Liabilities + Shareholders' Equity.
- Free Cash Flow should be approximately $1.9 billion in FY2026.
- Debt balance must decline year-over-year in FY2026 and FY2027 as FCF is swept to the term loan.
- Non-GAAP Effective Tax Rate should remain stable at approximately 18%.
- The backlog should remain above $11 billion in the near term, providing high visibility into forward revenue.

Hey, I’m Alex and I created Finamodel.
Over my years in the finance industry I kept building the same models over and over again. Same structure, same assumptions, different logo. So I started building frameworks to turn them into clean, reusable templates.
Every model here is one I’d actually use for a client, and I personally vet each one before it goes up.
I’m not an expert in every industry, but I’ve built enough models to know what belongs in one. And when something is completely foreign to me, I reach out to my network for experts to work on our models with us.
